1. Agreement to these terms
By using outboundtoclose.com (the "Site"), booking a call, or requesting a free resource, you agree to these Terms of Service ("Terms") and to our Privacy Policy. If you use the Site for a company, you confirm you are allowed to accept these Terms for it, and "you" includes that company. If you do not agree, please do not use the Site.
2. Who we are
"Outbound to Close", "OTC", "we", "us" and "our" mean Outbound to Close LLC, a Wyoming limited liability company, and Outbound to Close LLP, a limited liability partnership registered in India.
- If you are located in India, your agreement under these Terms is with Outbound to Close LLP.
- If you are located anywhere else, your agreement under these Terms is with Outbound to Close LLC.
For paid services, the entity named in your signed agreement is the one you contract with.
3. Who may use the Site
The Site and our services are for businesses and professionals. You must be at least 18 and able to form a binding contract. You must give accurate information in any form, booking or conversation with us, and must only submit another person's details if you have the right to do so.
4. Paid work needs a signed agreement
Nothing on the Site is an offer that you can accept to create a contract for services. Prices, packages, scope, timelines, results and any refund or make-good terms shown on the Site, in emails, on calls or in proposals are for information and may change.
We provide paid services only under a written agreement signed by both sides, such as a services agreement, statement of work or order form (a "Signed Agreement"). Only the Signed Agreement sets out what we will deliver, what you will pay, any guarantee, and how either side can end the work. If anything on the Site or in these Terms conflicts with a Signed Agreement, the Signed Agreement wins.
We may decline to work with any business for any lawful reason, including fit, capacity or conflicts.
5. No guaranteed results and no professional advice
Outbound results depend on many things outside our control, including your product, pricing, market, timing, sales follow-up and how prospects respond. Unless a Signed Agreement says otherwise, we do not promise any number of meetings, pipeline, revenue or customers.
Figures about our founder's past sales record describe one person's results at previous employers. They are not a promise of results for you. Names of other companies on the Site are trademarks of their owners and do not mean those companies are affiliated with, or endorse, OTC.
Content on the Site, in our free resources and on discovery calls is general business information. It is not legal, tax, accounting, financial or regulatory advice. You are responsible for your own decisions and for checking that your outreach meets the laws that apply to your business.
6. Free resources and calls
Free resources. When you request a free resource, such as our ICP template, we grant you a personal, non-exclusive, non-transferable licence to use it within your own business. You may adapt it for internal use. You may not sell it, republish it, or offer it as part of a paid product or service. Free resources are provided "as is". Requesting one means we will email it to you; any further emails are handled as described in our Privacy Policy, and you can unsubscribe at any time.
Discovery and strategy calls. Calls you book with us are free unless we agree otherwise in writing. A call does not make you a client or create any obligation on either side. We may reschedule or cancel a call, and we ask you to give us notice if you cannot attend. If a call will be recorded, we will tell you first.
7. Our intellectual property
The Site and everything on it, including text, frameworks, playbooks, templates, designs, videos, the Outbound to Close name and any logos, belong to OTC or our licensors. We give you a limited, revocable right to view the Site for your own business purposes. All other rights are reserved.
What we create for clients, and who owns it, is set out in each Signed Agreement. Our general know-how, methods, playbooks, prompts and tools remain ours unless a Signed Agreement says otherwise.
If you send us ideas or feedback, you agree we may use them freely, without payment or obligation to you.
8. Acceptable use
You must not:
- copy, scrape, crawl or harvest the Site or its content by automated means;
- use Site content to train, test or improve any AI model or to build a competing product or service;
- republish, resell or frame the Site or our free resources;
- try to break, overload, probe or bypass the security of the Site;
- upload or send malicious code, spam or unlawful content;
- impersonate anyone, or misrepresent your identity or company;
- submit another person's personal data without the right to do so;
- use the Site in a way that breaks any law or anyone else's rights.
We may suspend or block access to the Site for anyone who breaks these rules.
9. Information you share before signing
Before you become a client, you may share non-public business information with us on calls, by email or in forms, such as customer lists, pipeline numbers, pricing or plans. We will use it only to understand your needs and prepare a proposal, will not disclose it to anyone except people who need it for that purpose and are bound by confidentiality, and will delete it on request.
This does not apply to information that is or becomes public through no fault of ours, that we already knew, that we develop independently, or that we receive lawfully from someone else. If you need stronger protection, ask us to sign a non-disclosure agreement before you share it. Please do not share personal data about your customers, or any sensitive personal data, before a Signed Agreement is in place.
10. Working with competitors
We may work with businesses that compete with you, both before and after you become a client. We do not reuse lists, messaging, materials or confidential information created for or received from one client for any other client. If a business in your space approaches us while you are a client, we will tell you first, without sharing its confidential information. We offer exclusivity only if a Signed Agreement says so.
11. Third-party sites and tools
The Site may link to, or use, third-party sites and tools, such as our booking calendar. We do not control them and are not responsible for their content, availability or privacy practices. Their own terms apply.
12. Disclaimers
The Site and free resources are provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose, accuracy, non-infringement and uninterrupted availability. We may change, pause or remove any part of the Site at any time.
13. Limitation of liability
To the extent the law allows:
- we are not liable for any indirect, incidental, special, consequential or punitive loss, or for lost profits, revenue, business, data or goodwill, arising from the Site or our free resources;
- our total liability arising from the Site, these Terms and our free resources is limited to USD 100 (or INR 8,000 if your agreement is with our Indian entity).
Liability for paid services is governed only by the Signed Agreement. Nothing in these Terms limits liability that cannot be limited by law, such as for fraud.
14. Indemnity
You agree to defend and compensate OTC, its owners and team for claims, losses and reasonable legal costs caused by your breach of these Terms, your misuse of the Site, or information you submitted without the right to do so.
15. Governing law and disputes
Talk to us first. If you have a dispute about the Site or these Terms, email privacy@outboundtoclose.com with the subject "Dispute" and a short description. Both sides will try in good faith to resolve it within 30 days before starting any formal proceedings.
Which law and courts apply.
- If your agreement is with Outbound to Close LLC, these Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules, and the state and federal courts located in Wyoming have exclusive jurisdiction.
- If your agreement is with Outbound to Close LLP, these Terms are governed by the laws of India, and the courts at Bengaluru, Karnataka have exclusive jurisdiction.
Either side may still ask any competent court for urgent relief to protect its intellectual property or confidential information. A Signed Agreement's dispute terms apply to disputes about paid services.
16. Changes to these Terms
We may update these Terms from time to time. The new version applies from the effective date shown at the top. Continuing to use the Site after that date means you accept the updated Terms. Changes do not apply to a dispute that arose before them.
17. General
- Whole agreement. These Terms and our Privacy Policy are the whole agreement between you and us about the Site and free resources. A Signed Agreement governs paid services.
- Transfer. We may transfer these Terms to an affiliate, or to a successor if our business is reorganised, merged, renamed or sold. You may not transfer them without our written consent.
- Severability. If a court finds part of these Terms unenforceable, the rest stays in force, and that part is applied as far as the law allows.
- No waiver. If we do not enforce a right straight away, we can still enforce it later.
- Events beyond control. Neither side is responsible for delays caused by events outside its reasonable control.
- Notices. We may send you notices by email to the address you gave us. Send notices to us at privacy@outboundtoclose.com.
- Survival. Sections 7, 9, 12, 13, 14 and 15 continue after you stop using the Site.
- Language. These Terms are written in English, and the English version controls.
